Referral Programme
You introduce an organisation to Sourcemeta. If we accept the introduction in writing and that organisation becomes a paying customer, we pay you 20% of each payment they make to us during their first 12 months as our customer, within 30 days of each payment. By submitting a referral, you accept the terms below.

1. Overview
This Referral Partner Programme (the “Programme”) lets you ("Partner", “you”) introduce organisations that may be interested in purchasing the products and services offered by Sourcemeta from time to time (the “Sourcemeta Services”) to us, and to earn a referral fee when those introductions become paying customers, subject to these terms (the “Terms”).
The Programme is operated by Sourcemeta OÜ, a private limited company registered in Estonia (registry code 17180733) ("Sourcemeta OÜ").
These Terms are a binding agreement. You are not required to sign anything: by submitting a Referral to us in the manner described in Section 4, you accept these Terms in full. If you do not agree to these Terms, do not submit a Referral.
2. Who can take part
You may take part if you are an organisation or an individual, and you are independent of the organisations you refer.
You may not participate in respect of any referred organisation where you are an employee, officer, director, agent or contractor of that organisation, or where you otherwise owe that organisation any duty in connection with its purchasing, procurement, vendor-selection or budget decisions. The Programme is designed for arm’s-length introductions only. (See the warranties in Section 7.)
3. What counts as a Referral
A “Referral” is a written introduction, submitted by you to us in the manner set out in Section 4, of an organisation (the “Referred Organisation”) that you reasonably believe may purchase Sourcemeta Services.
A Referral becomes an “Eligible Referral” only once we confirm in writing that we have accepted it (see Section 5).
4. How to submit a Referral
Submit each Referral in writing to hello@sourcemeta.com, including at least:
- the name of the Referred Organisation and the name and contact details of your point of contact there;
- a short description of the opportunity; and
- confirmation that you have read and accept these Terms.
We will acknowledge receipt and tell you, within a reasonable time, whether we have accepted the Referral.
5. Acceptance and qualification of Referrals
We decide, in our sole discretion, whether to accept a Referral. We may decline a Referral if, among other things:
- the Referred Organisation is already a customer of Sourcemeta, or is already the subject of a referral by another partner;
- the Referred Organisation was already in discussions with us (or in our sales pipeline) regarding the Sourcemeta Services before your submission;
- the same organisation has already been submitted to us as a Referral by a third party;
- accepting it would result in payment to more than one party, or would otherwise be contrary to our reasonable business interests; or
- any of your representations in Section 7 is or becomes untrue, or you are otherwise in breach of these Terms.
Once a Referral becomes an Eligible Referral, all subsequent dealings with the Referred Organisation regarding the purchase of Sourcemeta Services are conducted by us, at our direction. We set and control all pricing, terms and the decision whether to enter into any agreement with the Referred Organisation. Nothing in these Terms obliges us to enter into any agreement with any Referred Organisation.
6. Referral Fees
We will pay you a referral fee (the “Referral Fee”) where an Eligible Referral becomes a paying customer for the Sourcemeta Services.
- Amount: 20% of each payment (excluding taxes) made by the Referred Organisation to us for the Sourcemeta Services during the 12 months following the Referred Organisation’s first payment to us.
- When earned: as the Referred Organisation makes each qualifying payment in full.
- When paid: within 30 days of each Referral Fee being earned, against a valid invoice from you.
- Currency and taxes: the Referral Fee is stated exclusive of any applicable taxes. You are solely responsible for any taxes arising on the Referral Fee, and for issuing a compliant invoice. We may withhold amounts where required by law.
No Referral Fee is payable for any Referral that does not become an Eligible Referral, or where the Referred Organisation does not become a paying customer of the Sourcemeta Services.
7. Your representations and warranties
Each time you submit a Referral, you represent and warrant to us, as at the date of that submission, that:
(a) you are not an employee, officer, director, agent or contractor of the Referred Organisation, and you owe the Referred Organisation no duty in respect of its purchasing, procurement or vendor-selection decisions;
(b) you have not offered, promised or given, and will not offer, promise or give, any financial or other advantage to any person in order to improperly influence the Referred Organisation’s decision to procure the Sourcemeta Services;
(c) the Referral, and your receipt of any Referral Fee, do not and will not breach any law, contract, policy or duty applicable to you, including all applicable anti-bribery, anti-corruption and sanctions laws (including, without limitation, the UK Bribery Act 2010 and the US Foreign Corrupt Practices Act);
(d) neither you nor the Referred Organisation is a person or entity that is the target of, or located in a territory subject to, applicable trade or economic sanctions; and
(e) where the Referred Organisation is a public-sector body, you will disclose the existence and nature of any Referral Fee to that organisation to the extent required by applicable law or by that organisation’s procurement rules, and the Referral does not involve any improper benefit to any public official.
8. Consequences of breach
If any representation in Section 7 is or becomes untrue, or if you otherwise breach these Terms, we may (without limiting any other right or remedy): decline or cancel the relevant Referral; withhold any Referral Fee that would otherwise be payable; recover (claw back) any Referral Fee already paid in respect of the affected Referral; and/or suspend or remove you from the Programme. These rights are in addition to, and do not limit, any rights we have at law.
9. Relationship of the parties
Nothing in these Terms creates any partnership, joint venture, employment or agency relationship between you and Sourcemeta. You have no authority to bind Sourcemeta, to make any representation or commitment on our behalf, or to negotiate or set pricing for the Sourcemeta Services. You act as an independent party at all times.
10. Contracting entity
For Referred Organisations located in the United Kingdom, the contracting entity under these Terms, and the party responsible for paying the Referral Fee, is Sourcemeta Ltd (company number 14162311). For all other Referred Organisations, the contracting entity is Sourcemeta OÜ. References in these Terms to “Sourcemeta”, “we” or “us” mean the applicable contracting entity for the Referral in question.
11. Confidentiality
Each party will keep confidential any non-public information disclosed by the other under the Programme, and will use it only for the purposes of the Programme. This does not apply to information that is or becomes public through no fault of the receiving party, or that must be disclosed by law.
12. Changes and termination
We may change these Terms, or suspend or end the Programme, at any time, by updating this page. Changes apply to Referrals submitted after the change takes effect. We may end your participation in the Programme at any time. Termination does not affect Referral Fees earned in respect of Eligible Referrals accepted before termination, whether those fees are earned before or after termination, except where Section 8 applies.
13. Governing law and jurisdiction
The governing law and forum for each Referral depend on the contracting entity identified in Section 10:
- Where Sourcemeta Ltd is the contracting entity, these Terms, and any dispute arising out of or in connection with them, are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
- Where Sourcemeta OÜ is the contracting entity, these Terms, and any dispute arising out of or in connection with them, are governed by the laws of Estonia, and the courts of Estonia have exclusive jurisdiction.
